A Single-Member Limited Liability Company (LLC) is a business structure that offers a blend of corporate protections and pass-through taxation, making it an attractive choice for individual entrepreneurs. By default, a Single-Member LLC is treated as a disregarded entity for tax purposes, meaning that its income flows directly onto the owner's personal tax return. However, despite this fiscal convenience, it does not shield the owner from self-employment taxes. One of the key advantages of this structure is the legal liability protection it provides, ensuring that personal assets remain separate from business debts. Yet, in certain jurisdictions, courts have been known to pierce the corporate veil, especially in cases where the owner commingles personal and business finances. Furthermore, although simple in administration, a Single-Member LLC does not offer the same level of credibility as more complex entities, which can sometimes impede investor confidence.
